Terms of Service

1.The service

Olotalk provides a hosted, embeddable AI assistant ("assistant") that answers questions from content you connect — your website, documents, and other sources you provide — together with a dashboard to configure, test, and analyze it. These Terms cover the assistant, the dashboard, our APIs, and any related services (collectively, the "Service").

Olotalk is currently offered as a public beta. The Service is under active development, features may change, be added, or be removed, and it may contain defects. We may modify or discontinue any part of the Service at any time.

2.Your account

You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least the age of majority in your jurisdiction, and if you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Notify us promptly at [email protected] if you suspect unauthorized use of your account.

3.Your content

You retain all rights to the content you connect to the Service ("Your Content"), including the pages and files you ingest and the branding you configure. You grant Olotalk a worldwide, non-exclusive license to host, process, index, and transmit Your Content solely to operate and improve the Service for you — for example, to crawl and index your pages, generate answers, and produce your analytics.

You represent that you have the rights necessary to connect Your Content and that it does not infringe the rights of others or violate any law. You are responsible for the content you make your assistant answer from and for the answers your assistant gives to your visitors.

4.AI-generated output

The Service uses large language models to generate responses. AI output can be inaccurate, incomplete, or unexpected, even when grounded in Your Content. Olotalk is a tool, not a substitute for professional advice. You are responsible for reviewing how your assistant behaves before going live and for any decisions you or your visitors make based on its output.

5.Acceptable use

You agree not to:

• use the Service for anything unlawful, harmful, deceptive, or infringing;
• ingest content you do not have the right to use, or scrape or index third-party sites without authorization;
• attempt to gain unauthorized access to the Service, other accounts, or our infrastructure, or to probe, scan, or disrupt it;
• circumvent usage limits, rate limits, or billing, or resell the Service without our written consent;
• use the Service to generate spam, malware, or content that harasses, defames, or violates the privacy of others; or
• use the Service to build a competing product or to train a competing model.

We may suspend or limit accounts that we reasonably believe violate these Terms or that create risk or excessive burden for the Service or other users.

6.Plans, fees, and billing

The Service includes a free tier and paid plans. Paid plans are billed in advance on a recurring basis through our payment processors. Fees are stated exclusive of taxes, which we add where required. Usage above your plan’s included allowance is governed by the limits and any overage terms shown in your dashboard.

Your plan includes a conversation retention window, and conversations are deleted once they pass it. The same window determines how far back you can view them, because the data is deleted rather than hidden. If you move to a plan with a shorter window, we hold your previous window open for a grace period and notify you before anything is deleted; moving to a longer window applies to conversations you still have and does not restore ones already deleted. You can export your conversations on any plan, including the free tier.

You can cancel a paid plan at any time from your dashboard; cancellation takes effect at the end of the current billing period, and you retain access through the period you have paid for. Except where required by law, fees already paid are non-refundable. We may change prices or plan features on prospective notice; changes do not affect the period you have already paid for.

Because Olotalk is in beta, some pricing and limits may change as the Service matures. We will give reasonable notice of material changes that affect paid plans.

7.Intellectual property

Olotalk and its licensors own the Service, including its software, models as integrated, designs, and trademarks. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

8.Third-party services

The Service integrates third-party providers — for example, AI model providers, payment processors, hosting, and optional integrations you connect such as CRM or scheduling tools. Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services.

9.Privacy

Our Privacy Policy explains what information we collect and how we handle it, including data your assistant processes from your visitors. By using the Service you also agree to the Privacy Policy.

10.Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that AI output will be accurate. This is emphasized for the beta, which may be unstable or change without notice.

11.Limitation of liability

To the maximum extent permitted by law, Olotalk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the three months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12.Indemnification

You agree to indemnify and hold Olotalk harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

13.Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends and we may delete Your Content in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive.

14.Governing law

These Terms are governed by the federal laws of Canada and the laws of the province in which Olotalk is incorporated, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in that province for any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.

15.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
